It's a program from Asus that one needs to install in order to be able to use the program for overclocking cpu and memory, the program even monitors all the essential procesess within the pc itself, like heat development etc.

If you have a new Asus mobo then you know what it is and probably aren't worried about it. If you don't ,on the other hand, then you probably have some nifty malware posing as Asus' kick-ass utility, PCProbe2. Such is life. ;)
